This Service Agreement (“Agreement”) is made between TrueBytes (“Service Provider”) and the Client (“Customer”).
By engaging our services, both parties agree to the following terms:
1. Scope of Services
TrueBytes agrees to provide one or more of the following services based on the client’s package, proposal, or project document:
- IT Support & Maintenance
- System Setup & Configuration
- Website Design & Development
- Domain & Hosting Services
- Software Development
- Consultation & Technical Assistance
Full details of tasks, deliverables, and timelines will be outlined in a separate proposal, estimate, or scope document.
2. Client Responsibilities
The client agrees to:
- Provide accurate information necessary for service delivery
- Grant required access (hosting, admin panels, credentials, etc.)
- Respond to communication promptly
- Review and approve deliverables within reasonable time
- Ensure any third-party accounts remain in good standing
Delays caused by the client may extend the project timeline.
3. Payment Terms
- Payment is due as per the pricing or invoice issued.
- Some services may require upfront payment or milestone payments.
- Late payments may result in delays or suspension of service.
- All payments are non-refundable per the TrueBytes Refund Policy unless otherwise agreed.
4. Revisions & Modifications
- Revisions are limited as specified in the proposal or package.
- Additional revisions or new requirements may incur additional charges.
- Any changes to scope must be approved in writing.
5. Term & Termination
This Agreement remains active until services are completed or terminated.
Either party may terminate services with written notice if:
- The other party breaches the Agreement
- Mutual agreement to end the work
- The client becomes unresponsive for 14 days (project may be closed)
Payments for work already completed remain payable.
6. Confidentiality
Both parties agree to keep all shared information confidential, including:
- Login credentials
- Business information
- Technical systems
- Proprietary data
TrueBytes may use anonymized project details only for portfolio purposes unless the client requests otherwise.
7. Third-Party Tools & Platforms
Some services may involve third-party platforms (hosting, CMS, email services, etc.). TrueBytes is not responsible for:
- Third-party outages
- Policy or pricing changes
- Limitations in their systems
- Losses caused by third-party actions
The client is responsible for maintaining any third-party subscriptions unless arranged otherwise.
8. Limitation of Liability
TrueBytes will not be held liable for:
- Loss of income, profits, or business
- Downtime caused by external systems
- Client-side errors, misuse, or unauthorized changes
- Data loss due to client actions or third-party platforms
Total liability shall not exceed the amount paid for the service.
9. Intellectual Property
- Upon full payment, the client receives rights to final deliverables (website files, designs, software as applicable).
- TrueBytes retains rights to internal tools, frameworks, or development methods used in the process.
- Hosting, licensed software, and third-party assets remain property of their respective owners.
10. Support & Maintenance
Support is provided as per the package purchased.
Additional support outside agreed hours or scope may incur additional charges.
11. Governing Law
This Agreement is governed by the laws of the jurisdiction in which TrueBytes operates, unless agreed otherwise in writing.
12. Acceptance of Agreement
By paying the invoice, signing a proposal, or starting work, both parties acknowledge and accept this Service Agreement.
